1. Acceptance of Terms

By accessing and using AgentsX ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. AI System Disclaimers and Limitations

CRITICAL NOTICE: AI ACCURACY AND RELIABILITY

BY USING THIS SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

2.1 NO GUARANTEE OF ACCURACY OR RELIABILITY

The Service utilizes artificial intelligence, machine learning models, and agentic AI systems that are inherently probabilistic and non-deterministic in nature. AgentsX makes NO WARRANTIES, EXPRESS OR IMPLIED, regarding the accuracy, reliability, completeness, timeliness, or fitness for any particular purpose of any outputs, recommendations, analyses, predictions, or decisions generated by the Service. AI-generated content may contain errors, inaccuracies, biases, hallucinations, or misleading information.

2.2 USER ASSUMES ALL RISK AND RESPONSIBILITY

YOU EXPRESSLY ACKNOWLEDGE AND AGREE that you are solely and exclusively responsible for all decisions made, actions taken, or omitted based on, in reliance upon, or in connection with any output, recommendation, analysis, or information provided by the Service. You assume all risks associated with the use of AI-generated content, including but not limited to financial loss, reputational damage, operational disruption, legal liability, regulatory non-compliance, personal injury, or any other form of damages or losses.

2.3 MANDATORY INDEPENDENT VERIFICATION

You agree to independently verify, validate, and confirm all AI-generated outputs through appropriate human oversight, professional judgment, expert consultation, and additional data sources before making any decisions or taking any actions based on such outputs. The Service is intended as a tool to assist human decision-making, not to replace professional judgment, expertise, or human oversight.

2.4 NO PROFESSIONAL ADVICE

The Service does NOT provide legal, financial, medical, investment, tax, accounting, regulatory compliance, or any other form of professional advice. Any information or recommendations provided by the Service do not constitute professional advice and should not be relied upon as such. You must consult qualified professionals for advice specific to your circumstances.

2.5 LIMITATION OF AI CAPABILITIES

AI systems have inherent limitations including but not limited to: inability to understand context fully, potential for generating false or fabricated information ("hallucinations"), susceptibility to adversarial inputs, lack of common sense reasoning, inability to verify factual accuracy in real-time, potential biases from training data, and inability to comprehend nuanced ethical or legal considerations. The Service may produce outputs that appear confident but are factually incorrect or contextually inappropriate.

3. Complete Release and Waiver of Liability

3.1 TOTAL DISCLAIMER OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTSX, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, "AGENTSX PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO:

Any decisions made or actions taken based on AI-generated outputs, recommendations, or analyses
Inaccurate, incomplete, misleading, or false information provided by the Service
Errors, bugs, defects, or malfunctions in the AI systems or Service
Financial losses, investment decisions, business decisions, or strategic choices influenced by the Service
Regulatory violations, legal liabilities, or compliance failures resulting from reliance on the Service
Reputational damage, brand harm, or loss of customer confidence
Data breaches, security incidents, or unauthorized access to your systems or information
Interruption, suspension, or termination of the Service
Any claim by third parties arising from your use of the Service

3.2 MAXIMUM LIABILITY CAP

IF, NOTWITHSTANDING THE FOREGOING, ANY AGENTSX PARTY IS FOUND LIABLE TO YOU FOR ANY DAMAGE OR LOSS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, SUCH LIABILITY SHALL BE LIMITED TO THE LESSER OF (A) THE TOTAL AMOUNT PAID BY YOU TO AGENTSX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

3.3 BASIS OF THE BARGAIN

You acknowledge that the limitations of liability set forth in this Section are fundamental elements of the basis of the bargain between you and AgentsX, and that AgentsX would not provide the Service without such limitations. These limitations shall apply regardless of whether AgentsX has been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.

4. Indemnification

You agree to defend, indemnify, and hold harmless AgentsX Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees, expert fees, and court costs) arising from or related to: (a) your use of or inability to use the Service; (b) any decisions made or actions taken based on AI-generated outputs; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights; (e) any claim that your use of the Service caused damage to a third party; or (f) any content, data, or information you submit to or through the Service. This indemnification obligation shall survive termination of these Terms and your use of the Service.

5. Use of Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law
To make critical decisions without independent human verification and professional oversight
In any safety-critical, life-critical, or mission-critical applications where failure could result in death, personal injury, or severe environmental or property damage
To transmit any material that is defamatory, offensive, or otherwise objectionable
To impersonate or attempt to impersonate the Company, another user, or any other person or entity
To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
For any purpose that is unlawful, fraudulent, or in violation of any third-party rights

6. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of AgentsX and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AgentsX.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, conducted in Delaware. You waive any right to a jury trial or to participate in a class action lawsuit.

10. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired, and such provision shall be reformed to the minimum extent necessary to make it valid and enforceable while preserving its intent.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any such modifications constitutes your acceptance of the new Terms.
